Alleo Terms of Use

Alleo B.V. ("Alleo") offers an integrated platform designed for employees to easily access and flexibilize their benefits package, along with a dedicated employer portal. Through this portal, authorized team members can gain clear insights into platform usage across the workforce (collectively referred to as the “Platform”).

Within the Platform, employees can unlock and enjoy exciting perks and rewards in our marketplace (“Benefits”). These Benefits may also include products or services from top-tier third-party providers (“Partners”).

These terms of use (the “Terms”) govern your access to and use of the Platform. By accepting them, you enter into a binding agreement with Alleo (the “Agreement”).

  1. General

    1. Alleo reserves the right to update these Terms and will notify you of any changes. A revised version of the Terms becomes effective immediately upon publication at https://www.alleo.nl/user-terms-conditions. If you do not agree with the updated Terms, you can close your account and stop using the Platform. Continuing to use the Platform after being notified of a revised version constitutes your acceptance of the new Terms.

    2. By accepting these Terms and utilizing the Platform, you declare and warrant that:

      1. you are at least 16 years of age;

      2. you are, at all times while using the Platform, an employee of an organization that is an active client of Alleo;

      3. you will use the Platform in full compliance with these Terms;

      4. all information you provide during registration and your ongoing use of the Platform is accurate, complete, and truthful.

  1. The Platform

    1. Your employer will set up your personal account (“Account”) within the Platform. Once active, you are granted a personal, non-transferable right to access the Platform, its content, and its outstanding range of Benefits.

    2. Alleo strives to ensure that the Platform and its contents are available smoothly and without interruption. However, the Platform is provided with the functionalities available at the time of your use ("as is" availability). Alleo makes no guarantees regarding the availability, functionality, or suitability of the Platform for specific purposes. We cannot guarantee the absolute completeness or continuous availability of any data entered into the Platform. 

    3. Alleo may update the Platform at any time. This includes adding, modifying, or removing features, implementing security updates, changing available information (including active Benefits), and other (technical) updates. Alleo is also authorized to temporarily limit access to the Platform or completely discontinue (certain features of) the Platform without any liability.

    4. Your use of the Platform is entirely at your own risk. Alleo is not responsible for the accuracy or completeness of any data entered or displayed on the Platform. Relying on information shown on the Platform is done at your own risk, and we cannot be held liable for any decisions or actions taken based on it. 

  1. Using the Platform

    1. Upon your employer's request, Alleo will create a personal account for you. You can then request an access code using the email address provided by your employer. Your login credentials are strictly personal, and you must keep them secure and never share them with anyone else.

    2. Any activity on the Platform under your account name—whether by you or a third party—is your responsibility and at your own expense.

    3. All information you upload or submit to the Platform must remain accurate, complete, and up to date. We reserve the right to suspend, terminate, or restrict your account if we suspect that any provided information is incorrect.

    4. As a user of the Platform, you agree and accept that we collect usage data and statistics, which we aggregate to continuously optimize and upgrade the Platform experience. 

    5. When using the Platform, it is strictly prohibited to:

      1. utilize any device or software containing viruses, Trojan horses, worms, bots, or other malicious code designed to disrupt, damage, disable, or compromise the Platform;

      2. use manual or automated software, devices, or other processes to scrape or extract data from the Platform;

      3. use any information available on the Platform for any purpose other than its intended use, unless you have obtained our explicit prior consent;

      4. reproduce, decompile, or reverse engineer the Platform, except to the extent permitted by mandatory applicable law;

      5. bypass, disable, or circumvent any security measures or technical limitations of the Platform.

    6. We reserve the right to suspend or terminate your account and/or restrict your access to the Platform at any time, particularly if you breach these Terms, infringe upon third-party rights, or violate applicable laws and regulations. 

    7. Your employer may also request to suspend or terminate your account. Alleo is not liable for such decisions; any questions regarding account suspension should be directed to your employer.

  1. Benefits

    1. The Platform offers a wide range of custom Benefits. You can choose and activate Benefits up to the budget allocated to you or within the limits set by your employer. Benefit prices are displayed directly on the Platform, and Alleo reserves the right to modify these prices at any time. Once chosen, Benefits cannot be converted back into budget or otherwise undone.

    2. The overview of Benefits shown on the Platform does not guarantee perpetual availability. Alleo can modify the selection of Benefits at any time (including removing items or updating prices and terms).

    3. If a Benefit consists of a service or product (such as a voucher or subscription), choosing that Benefit creates a separate agreement (a “Delivery Agreement”). The following rules apply to these agreements:

      1. if the Benefit is offered directly by Alleo, the Delivery Agreement is formed between you, Alleo, and Alleo Platform Transactions B.V. (Alleo's group entity responsible for financial transactions). Additional terms and conditions from Alleo will apply and will be shown to you before finalizing your selection;

      2. if you choose a Benefit offered by one of our Partners, the Delivery Agreement is formed between Alleo Platform Transactions B.V. and the Partner, acting on behalf of and financed by your employer. The product or service will be delivered directly to you. For these agreements, please note:

        1. the Partner delivers the Benefit to your employer through Alleo Platform Transactions B.V. The Partner is solely responsible for fulfilling and delivering the respective products or services. Consequently, only the Partner is liable for any direct or indirect damage you may suffer in connection with the performance of the Delivery Agreement or the chosen Benefit;

        2. you are authorized by your employer to enter into such Delivery Agreements on their behalf, up to your allocated budget. Your employer determines whether they retain ownership of the delivered item (if applicable) or transfer ownership to you;

        3. these Delivery Agreements are subject to the terms and conditions of the Partner, which you accept when choosing the Benefit;

        4. if a Partner requires specific conditions to be met before delivering a Benefit, the Delivery Agreement is finalized only once those conditions are satisfied. This might include signing a direct agreement between you and the Partner. In such cases, Alleo Platform Transactions B.V. is not a party to that separate agreement;

        5. these Delivery Agreements remain active for the duration specified in the agreement itself, or indefinitely if no duration is mentioned. For open-ended Delivery Agreements, Alleo Platform Transactions B.V. may terminate the benefit at any time, effective on the first day of the next calendar month. In addition, Delivery Agreements terminate automatically if the agreement between Alleo and your employer ends. Unless agreed otherwise with the Partner, the Partner's obligation to deliver the Benefit will end simultaneously.

    4. Your use of any Benefit is entirely at your own risk. You hereby release and hold harmless Alleo and its subsidiaries, affiliates (including Alleo Platform Transactions B.V.), partners, officers, directors, employees, and agents from any and all liabilities arising from any actions, errors, breaches, misrepresentations, misconduct, default, or negligence of a Partner, the unavailability of a Benefit, or any inability to redeem a Benefit. Product and service descriptions on the Platform are provided by our Partners and curated by Alleo. Alleo is not liable for performance, availability, or quality claims related to Benefits. 

    5. Alleo may verify your identity before processing the redemption of a Benefit. Alleo reserves the right to refuse a Benefit to a user if reasonably necessary to comply with applicable laws. If a Benefit becomes unavailable before or during order processing, Alleo will cancel or halt the order without any liability to you. Alleo also reserves the right to cancel or not process orders with incorrect pricing resulting from technical errors. In any of these events, Alleo will notify you promptly.

  1. Payments and Taxes

    1. Using the Platform is free of charge. Choosing Benefits within your allocated budget or limits incurs no costs for you. If you enter into a Delivery Agreement that exceeds your budget, you may need to co-pay. You must use the payment methods made available to you at that time. Additional payment terms may apply and will be clearly communicated within the Platform. Alleo or the Partner will only initiate fulfilment of the Delivery Agreement once full payment is received.

    2. If payment is not completed in full, Alleo or the Partner has no obligation to deliver the Benefit and may suspend delivery until outstanding balances are paid.

    3. Tax authorities may view your redeemed Benefits as taxable income. Additionally, your employer may report the provision of Benefits to tax authorities as a form of non-cash compensation. Together with your employer, you are responsible for determining whether redeemed Benefits must be declared on your tax returns. You indemnify Alleo against any claims from tax authorities related to your use of the Platform or redemption of Benefits.

  1. Duration and Termination

    1. The Agreement formed by accepting these Terms is open-ended and remains active until:

    2. Your employer terminates its commercial partnership with Alleo; or

    3. Alleo, your employer, or you close your account.

    4. You can close your account at any time by emailing support@alleo.nl. Alleo reserve the right to suspend or terminate your account immediately if you breach these Terms.

    5. Upon closing your account, the Agreement between you and Alleo ends, and all usage rights granted under these Terms cease immediately. You will no longer have access to the Platform. The termination of your Agreement with Alleo does not affect successfully finalized Delivery Agreements, which remain in force.

  1. Third-Party Services and Content

    1. The Platform may feature links to content or services operated by third parties. These destinations are not controlled by Alleo, and we cannot be held responsible for the content, updates, or maintenance of external websites. Linking to another website does not imply an endorsement of its content by Alleo or its licensors.

  1. Intellectual Property Rights

    1. All intellectual property rights associated with the Platform and its contents—including but not limited to copyrights, trademarks, patents, design rights, trade names, database rights, and trade secrets ("IP Rights")—belong solely to Alleo or its licensors. Nothing in these Terms transfers any IP Rights from one party to another. Upon creating an account, Alleo grants you a personal, non-assignable right to use the Platform in compliance with these Terms. 

    2. Alleo is authorized to collect and utilize Platform usage data for internal business optimization. Alleo will not share raw performance data with third parties unless it has been fully anonymized, de-identified, or aggregated in a way that ensures no personal data is exposed.

    3. You retain all IP Rights in any data you or your organization uploads to the Platform. You grant Alleo a perpetual, non-exclusive right to use this data to run the Platform and fulfill our Agreement. 

    4. The Platform displays trademarks belonging to Alleo and its Partners. You may not copy, display, or use any of these trademarks without the prior written consent of the respective trademark owner.

  1. Privacy

    1. When registering and using our Platform, you share personal data with us. We process this data as a data processor in accordance with the data processing agreements made with your employer (the data controller). In instances where we act as a data controller (e.g., when delivering specific open-benefits directly), we process your data in compliance with our Privacy Policy, available at https://alleo.nl/static/privacy-policy/.

    2. When entering into a Delivery Agreement with a Partner, that Partner may need to process some of your personal data. The Partner is solely responsible for processing and protecting your data in compliance with applicable legislation. Alleo will make the Partner’s privacy policy available to you before you finalize your selection.

  1. Limitation of Liability

    1. Using the Platform is at your own risk. To the maximum extent permitted by law, we exclude all liability for damages arising out of your use of the Platform. In all cases, Alleo's liability is strictly limited to direct damages up to a maximum amount of EUR 250.

    2. Direct damage under this article refers exclusively to:

      1. physical damage to property;

      2. reasonable costs incurred to prevent or limit direct damage that could be expected from the incident causing liability; and

      3. reasonable costs incurred to determine the cause of the damage.

    3. Any liability for damages other than direct damage ("indirect damages")—including but not limited to loss of data, loss of profits, loss of business opportunities, revenue, or goodwill—is fully excluded.

    4. The limitations of liability stated here do not apply if the damage is a direct result of willful intent or gross negligence by Alleo.

    5. Alleo is not liable for any damages you claim in connection with a Delivery Agreement or a Benefit not directly fulfilled by Alleo. Any claimed dispute or damages under an Alleo-fulfilled Delivery Agreement will be governed solely by the terms of that specific Delivery Agreement.

    6. You indemnify Alleo against all third-party claims arising from or related to your breach of these Terms or the execution of a Delivery Agreement.

    7. Alleo cannot be held liable for any delay or failure in performance resulting from causes beyond our reasonable control. This includes natural disasters, war, riots, labor disputes, government actions, failures of our suppliers (including Partners), communication network outages (including internet disruptions), power failures, or equipment malfunctions.

  1. Final Provisions

    1. Alleo is entitled to transfer its rights and obligations under this Agreement to a third party without requiring your prior consent. You must obtain Alleo's prior written consent before transferring your rights to any third party.

    2. ‍If any provision of these Terms is found to be invalid, void, or unenforceable, that provision will be interpreted to reflect the parties' original intentions as closely as possible in a valid and enforceable manner. All other provisions of these Terms will remain fully intact.

    3. ‍This Agreement and these Terms are governed by and construed in accordance with Dutch law. Any disputes arising from or in connection with these Terms or your use of the Platform will be exclusively submitted to the competent court in Amsterdam, the Netherlands.
